Partner programme terms
What you accept when you become a partner: how clients are linked, how the commission is calculated and paid, what cannot be done and what each party sees. Version of 13 September 2026.
Document pending legal review
This text has been drafted but it is not the final version yet: one detail of the company that owns Cairos is missing, its entry in the companies register, and a lawyer's review is still missing. The gap you see like this is exactly that: a gap. Everything else, starting with the tiers, the 60-day holding period, the €50 minimum and the quarterly request, are the rules of the programme. Any questions, to info@cairos.es.
1. Owner and purpose
These terms govern the Cairos partner programme. Cairos is the management and invoicing program available at https://erp.cairos.es, owned by APRENDIZAJES DEL FUTURO SL, NIF B23853310, with its address at Passatge Domenech 3, 08470 Sant Celoni (Barcelona) and registered at [Registro Mercantil, volume, folio, sheet and entry]. In this document it is referred to as «Cairos».
The programme allows a company that brings clients to Cairos — the «partner» — to link those clients to its partner account and earn a commission on what they pay Cairos, on the terms set out below.
The partner acts in its own name and with full independence. Taking part in the programme does not make it an agent, distributor, representative or employee of Cairos: it may not enter into contracts or take on obligations on behalf of Cairos, and each client's contract is always between the client and Cairos, under the terms of service.
How the programme works, with examples, is explained on the partner programme page. If that page and this document say different things, this document governs.
2. Joining and acceptance
Any business, whether a company or an individual entrepreneur, acting in the course of its business and holding a user account in Cairos may become a partner. Joining requires no interview, prior application or approval:
- An account is created at erp.cairos.es/registro, or an existing one is used.
- «Become a partner» is opened from the user menu.
- These terms are accepted. From that moment, the company is a partner.
Whoever accepts on behalf of a company declares that they have sufficient authority to bind it. Cairos keeps the date of acceptance and the version of the terms accepted, which is the one shown at the foot of this document.
To request payment of commissions, the partner must have completed in the portal its tax details — company name and NIF — and the bank account in which it wishes to receive payments. Without them it can use the portal and generate commission, but it cannot request payment.
3. Free of charge
Being a partner is free of charge. There is no joining fee or recurring fee, and the programme does not require any Cairos plan to be taken out: the partner's account may stay on the free plan for as long as it takes part in the programme.
If the partner also uses Cairos to run its own company and takes out a paid plan, that subscription is independent of the programme: it is governed by the terms of service, it is paid like any client's and it generates no commission for the partner itself, as explained in section 5.
4. Linking clients and client consent
The partner can add clients from the partner portal in four ways: one by one, from an Excel file using the template the portal provides, by sending them an invitation or by creating their account directly.
- Invitation. The link is made when the client accepts the partner's invitation.
- Account created by the partner. When the partner creates a client's account directly, the partner declares that it does so with the client's knowledge and authorisation.
- Data provided by the partner. The partner warrants that the contact details it enters to add or invite a client are accurate and that it has a legitimate basis for providing them to Cairos for that purpose.
The client may unlink at any time, without needing authorisation from the partner or from Cairos. Payments the client made while linked still count towards the commission; those made after unlinking do not.
Clients on the free plan can be linked. They generate no commission while they do not pay, but they remain linked, and when they move to a paid plan the partner earns its share under section 6.
The portal lists all the clients the partner has added, including those who do not use Cairos yet and those who have stopped using it, so that the partner is in control of its portfolio. Appearing on that list does not in itself generate commission: only the payments in section 6 do.
5. One client, one partner
A company can only be linked to one partner at a time. If it is already linked to another, it cannot be linked to a second partner until it unlinks from the first.
A partner cannot be its own client. It may not link its own company as a client, either directly or through accounts created for that purpose, and payments from those accounts generate no commission.
6. How the commission is calculated
The commission is calculated each calendar month on the MRR (monthly recurring revenue) of the clients linked to the partner. For these purposes, a month's MRR is the total of what those clients have paid Cairos for their subscription and relates to that month, under these rules:
- Only amounts actually collected by Cairos count. Amounts invoiced but not collected do not.
- Amounts are taken excluding VAT and other taxes.
- They are taken net of discounts and net of any account credit the client has applied to its payment.
- An annual payment counts as twelve monthly ones: it is divided by 12 and each of the twelve months it covers adds one twelfth.
- Clients on the free plan add zero while they do not pay.
The following marginal tiers are applied to the total MRR of all linked clients: each rate applies only to the part of the MRR that falls within its tier, as in the Spanish personal income tax (IRPF) scale.
- 10% of the first €500.
- 15% of the part from €500 to €1,500.
- 20% of anything above €1,500.
For example, with €2,000 of MRR the month's commission is €50 (10% of €500) + €150 (15% of €1,000) + €100 (20% of €500) = €300.
The commission accrues every month for as long as the linked client keeps paying, with no end date. If a month's MRR falls — because a client moves to a cheaper plan, stops paying or unlinks — that month's commission falls to the same extent: it is always calculated on what was actually generated in the month.
Until a month has ended, the figure shown in the portal is an estimate. A month's commission becomes fixed when the month closes, without prejudice to the adjustments in section 7.
The commission is a taxable base: any applicable taxes are added on the partner's invoice in accordance with section 9.
7. Refunds and adjustments
As only money collected counts, if Cairos refunds a payment to a client, in full or in part, the commission that payment generated is deducted from the partner's next statement. If that statement is not enough to cover the deduction, the difference is deducted from the following ones.
Likewise, if Cairos detects an error in the calculation of a commission, it corrects it in the next statement, in the partner's favour or against it.
8. Holding period, minimum and payment requests
- 60-day holding period. A month's commission can be paid out from 60 days after that month closes. For example, September's from 30 November.
- Minimum of €50. To request payment, the partner must have at least €50 of available commission built up. Whatever does not reach the minimum is not lost: it keeps building up.
- One request per quarter. The partner may request one payment per calendar quarter, covering all the commission available at the time of the request. A request that Cairos rejects because the invoice is not correct does not count towards that limit.
9. Invoicing and taxes
When a payment is requested, Cairos shows the partner in the portal the exact amount of the invoice and what it must contain: Cairos's tax details as recipient, the description and the months it settles. The commission is the taxable base, and the final amount depends on the partner's tax situation:
- Established in Spain, outside the Canary Islands, Ceuta and Melilla: the taxable base plus 21% VAT. This applies equally to a company and to an individual.
- Individual resident in Spain with a professional activity: the invoice also carries the applicable IRPF withholding.
- Established in the Canary Islands, Ceuta or Melilla, in another European Union country or outside the EU: without VAT and bearing the wording «inversión del sujeto pasivo» (reverse charge), because in those transactions Cairos is the person liable for the tax, under article 84.One.2 of Ley 37/1992 on Value Added Tax.
The invoice is issued by the partner, addressed to Cairos with the amount and details indicated, and uploaded to the partner portal. If the invoice does not match what was indicated, Cairos rejects it and explains why, and the partner may request payment again with a correct invoice.
The partner remains solely responsible for its own taxes. The amount Cairos indicates is calculated from the tax details the partner has in the portal: if they are not correct or the partner's situation is different, it is for the partner to correct them before invoicing. Cairos does not advise on the partner's tax obligations.
Cairos pays the invoice by bank transfer to the account the partner has given in the portal, within 30 calendar days of receiving a correct invoice.
10. Prohibited practices
By taking part in the programme, the partner undertakes not to:
- Send unsolicited commercial communications to win clients, by email or by any other means, contrary to article 21 of Ley 34/2002, on information society services and electronic commerce.
- Impersonate Cairos or present itself as Cairos, as its official support or as part of its team, or use names, domains, profiles or designs that may cause confusion.
- Promise features, prices or terms that Cairos does not offer. What Cairos does and what it costs is what is published on cairos.es, starting with the pricing page.
- Bid on the Cairos brand in search engines, that is, use «Cairos» or confusingly similar variants as a keyword for paid ads.
- Sign up as its own client or link itself by any means, under the terms of section 5.
11. Suspension and leaving the programme
The partner may leave the programme at any time, without notice and at no cost, by writing to info@cairos.es.
Cairos may suspend a partner's participation or remove the partner from the programme if it breaches these terms, in particular through any of the practices in section 10, informing the partner of the reason.
On leaving, the links between the clients and that partner end. The clients keep their accounts and their relationship with Cairos, which does not depend on the partner.
12. Outstanding commission on leaving
Commission generated by payments made before the date of leaving is kept. The partner may request it once it is released under section 8, in a final request, even if it does not reach €50 and even if a payment has already been requested that quarter.
The exception is removal for the prohibited practices in section 10: in that case the commission obtained through those practices is forfeited.
13. Changes to the terms
Cairos may amend these terms to adapt them to changes in the law or in the programme. Changes are notified to partners by email at least 30 days before they come into force. A partner who does not accept them may leave the programme before that date.
Each version is identified by its date, and Cairos keeps the version each partner accepted. Commission already generated is calculated under the terms in force in the month in which it was generated.
14. Data protection
The partner's data. Cairos is the controller of the data of the partner and of the members of its team who access the portal — identification, contact details, tax details and bank account — which it processes to run the programme, calculate and pay commissions and meet its legal invoicing and record-keeping obligations. The details are in the privacy policy.
What the partner sees of its clients. For each linked client, the partner sees only the plan taken out, the amounts it pays Cairos, the commission it generates and its status in the programme. The partner never has access to the client's business data: not its invoices, not its contacts, not its accounts, nor any other data the client enters in the program. The partner undertakes to use that information only to follow its portfolio and its commissions, to keep it confidential and not to pass it on to third parties.
Data the partner provides. The partner provides the contact details it enters to add, invite or sign up a client under its own responsibility, in accordance with section 4, and Cairos uses them to manage that link and, where applicable, to send the invitation or create the account.
Much of this information relates to companies rather than individuals. Where the client or the partner is an individual entrepreneur, their data is personal data and is processed in accordance with Regulation (EU) 2016/679 and Ley Orgánica 3/2018 on the protection of personal data and the guarantee of digital rights. The security measures are described on the security page.
15. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute arising from the programme, the parties submit to the courts of Barcelona.
